Step 6 β€” Lease Agreement & Acknowledgment

OWNER-OPERATOR LEASE AGREEMENT

This Independent Contractor Lease Agreement ("Agreement") is entered into between Wathen Logistics LLC, MC# 1578019, USDOT# (Carrier), and the undersigned Owner-Operator (Contractor).

1. COMPENSATION

Carrier agrees to pay Contractor 85% of gross revenue collected on loads dispatched under this agreement. Payment is issued weekly by direct deposit. Contractor is responsible for all fuel, maintenance, tolls, and operating expenses unless otherwise stated.

2. INSURANCE REQUIREMENTS

Contractor must maintain at their own expense: (a) $1,000,000 minimum Auto Liability coverage; (b) $100,000 minimum Cargo insurance. Wathen Logistics LLC must be listed as Additional Insured on both policies. Proof of insurance must be on file at all times.

3. TERM & TERMINATION

This agreement is month-to-month with a 30-day written notice required for termination by either party. Carrier may terminate immediately for safety violations, insurance lapses, or fraudulent activity.

4. INDEPENDENT CONTRACTOR STATUS

Contractor is an independent contractor, not an employee. Contractor is responsible for all taxes, including self-employment taxes. Contractor will receive Form 1099 at year end.

5. COMPLIANCE

Contractor agrees to comply with all FMCSA regulations, DOT requirements, HOS rules, and company safety policies. Contractor must maintain a valid CDL and DOT medical certificate at all times while operating.

6. LOAD ACCEPTANCE

Contractor has the right to accept or decline any load. However, once a load is accepted, Contractor is responsible for its timely and safe completion.

7. DISPUTES

Any disputes will be resolved through binding arbitration in the state of Maryland in accordance with applicable federal and state law.
